These Terms and Conditions (“Terms”) govern your access to and use of Neural Knowledge Base, including the free “Free” WordPress plugin, the paid “Pro” WordPress plugin, and the Neural Knowledge Base Cloud AI service (together, the “Service”), provided by Elicus Technologies Private Limited (“Elicus”, “we”, “us”, “our”).

By downloading, installing, activating, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

“Free” means the free Neural Knowledge Base plugin distributed on WordPress.org, limited to 1 Knowledge Base per site.
“Pro” means the paid Neural Knowledge Base plugin sold on our website, which removes the 1 KB limit and unlocks additional Neural AI features.
“AI Service” means the cloud API that powers Neural AI features (semantic search, AI article drafting, TL;DR summaries, and Pro-only features such as the AI chatbot, readability analysis, and auto-tagging).
“Site Key” means the API key issued to your account and used to authenticate your site(s) against the AI Service.
“Credits” means the unit of measurement consumed each time the AI Service processes a Neural AI request.
“You” means the individual or entity that installs or uses the Service.

2. Eligibility and Account

You must be at least 18 years old to create an account or purchase Pro. You are responsible for keeping your account credentials and Site Key secure, and for all activity that occurs under your account. Notify us immediately at the email below if you suspect unauthorized use.

3. License Grants

3.1 Free Plugin

Free is licensed under the GNU General Public License v2.0 or later (GPLv2+), consistent with WordPress.org distribution requirements. You may use, modify, and redistribute Free under the terms of that license. Free works fully without any account or Site Key — no Neural AI features are required to use it.

3.2 Pro Plugin

Subject to an active subscription and payment of applicable fees, we grant you a non-exclusive, non-transferable license to install and use the Pro plugin on unlimited websites you own or manage. This license terminates automatically if your subscription lapses or is cancelled, subject to Section 8 (Termination).

3.3 AI Service

Access to the AI Service requires a valid Site Key issued to an account in good standing with available Credits. We may suspend AI Service access at any time for non-payment, Credit exhaustion, or violation of these Terms, without affecting your right to continue using non-AI features of Free or Pro.

4. Acceptable Use

You agree not to:

Send spam, unsolicited messages, or use the Service to collect data without consent;
Upload, generate, or distribute malicious code, malware, or content that violates applicable law;
Attempt to gain unauthorized access to the Service, other users’ accounts, or our infrastructure;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Use the AI Service to generate hateful, sexual, illicit, or otherwise harmful content, or attempt to circumvent our content-safety systems;
Reverse engineer, decompile, or attempt to extract the source code, models, or underlying algorithms of the AI Service;
Resell, sublicense, or provide third-party access to the AI Service using your Site Key without our written consent.

Repeated or serious violations may result in your Site Key being locked, your account being suspended or terminated, and no refund of unused Credits or fees.

5. AI Credits System

Neural AI features (semantic search, AI article drafting, TL;DR summaries, and any Pro-only Neural AI feature) consume Credits from your plan’s allocation each time the AI Service processes a request. Credit costs vary by feature and are shown in your account dashboard.

Plan allocations:

Free: 100 Credits, granted once on signup, non-renewing
Starter: 7,500 Credits per year
Agency: 25,000 Credits per year
Enterprise: Custom allocation per contract

Additional Credits are available for purchase as top-up packs (e.g. Starter Pack, Growth Pack). Top-up Credits never expire and do not change your plan tier. When your allocation is exhausted, Neural AI features pause until more Credits are added or your annual allocation renews; all non-AI features of the Service continue to work without interruption.

6. Payment and Billing

Pro plans (Starter, Agency) are billed annually with automatic renewal at the then-current price unless cancelled before the renewal date. Enterprise plans are billed per contract. You authorize us to charge your payment method on file for recurring fees and any top-up purchases you make.

7. Refunds

We offer a 30-day money-back guarantee on the initial purchase of Starter and Agency plans. To request a refund within this window, contact us at the email below. Refunds are not available for renewals, Enterprise contracts, or Credit top-up packs once purchased — top-up Credits are non-refundable once added to your account, whether or not they have been used.

8. Termination

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access to the AI Service or Pro license for non-payment, breach of these Terms (including Section 4), or extended inactivity, without obligation to refund unused fees or Credits, except as required by Section 7.

9. Intellectual Property

Elicus retains all rights, title, and interest in the Service, including the Pro plugin, the AI Service, and all associated trademarks, except for the GPLv2+ licensed source code of Free. You retain all rights to content you create using the Service, including AI-generated drafts and summaries once inserted into your site.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated content (drafts, summaries, search results) may contain inaccuracies; you are responsible for reviewing and editing AI output before publishing it.

11. Limitation of Liability

To the maximum extent permitted by law, Elicus’s total liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100 USD if you have not made any payment. Elicus is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

12. Indemnification

You agree to indemnify and hold Elicus harmless from any claims, damages, or expenses arising from your use of the Service in violation of these Terms or applicable law, or from content you publish using the Service.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. If you are a consumer located in the European Union or United Kingdom, mandatory consumer-protection laws of your country of residence apply where they conflict with this section. For business customers, any dispute arising from these Terms is subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated “Last Updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
